In late October, the SEC voted to adopt a new layered disclosure framework for open-end mutual funds and ETFs. Fund companies have until July 24, 2024 before these rules take effect.

Mike Donowitz (Moderator)

Mike Donowitz joined Broadridge Financial Solutions in 2018. He heads Broadridge’s Washington DC Office and is responsible for government relations, regulatory affairs, and works on the firm’s broker dealer, mutual fund and public company investor communications initiatives, including digital capabilities.
Prior to joining Broadridge, Mr. Donowitz worked in the legal department at Fidelity Investments as Vice President and Associate General Counsel. He advised on broker dealer sales practice issues, including market timing, late trading, breakpoint pricing, disclosure of revenue sharing arrangement and related ‘shelf space’ issues. He supported broker dealer back office operations and responded to regulatory inquires and exams. He also provided advice and guidance on all aspects of mutual fund distribution for one of the largest third party fund supermarkets and was lead counsel on a number of large outsourcing projects.
Mr. Donowitz is a graduate of Tufts University and earned a Juris Doctorate from New England School of Law.
Zeena Abdul-Rahman
Branch Chief, Investment Company Rulemaking Office, Division of Investment Management
U.S. Securities and Exchange Commission
Zeena Abdul-Rahman is a Branch Chief in the Investment Company Regulation Office in the SEC’s Division of Investment Management. In this role, she manages rulemaking teams focused on Investment Company Act regulations and provides advice on policy initiatives affecting the asset management industry. Zeena was a key member of the team that developed the Commission’s October 2022 rulemaking to modernize fund shareholder reports and promote transparent fee- and expense-related information in fund advertisements. Before joining the Division in 2015, she was an associate in the Washington, D.C. office of Dechert LLP. Zeena received a B.A. from the University of Tennessee and a J.D. from the George Washington University Law School.
Shannon Gaines
Assistant Treasurer, Head of U.S. Funds Vendor Management
J.P. Morgan Asset Management
Shannon Gaines, Assistant Treasurer to the J.P. Morgan Funds, joined J.P. Morgan in January of 2014 and is responsible for the oversight and relationship management of the key vendors that provide services to the Funds. His role also includes management and oversight of several fund administration related functions in addition to the teams that manage the Funds’ regulatory report print and distribution process, securities lending oversight and the Funds’ expense and budgeting operations.
Prior to joining J.P. Morgan, Mr. Gaines began his career with Citigroup and held various roles in fund administration, most recently as a Director in Client Services. As a director, he was responsible for relationship management, business management and supervision of middle office, custody, securities lending, fund accounting and administration services provided to clients. Mr. Gaines also served as Associate Director of Financial Reporting at Spectrum Global Fund Administration, an Alternative Investment Fund administrator.
Mr. Gaines received a B.S. in Accounting and Business Administration from Franklin University.
Kathleen Keenan

Kathleen Keenan is Vice President of Product Management for Investor Communication Services (ICS) on behalf of the Mutual Fund Regulatory Communications Business. Kathleen joined Broadridge in 2021.
Prior to Broadridge, Kathleen was Head of Product at GAGNONtax where she successfully helped to transform the company from a professional service to technology company by repurposing in-house technology for sale within a broader commercial market. Kathleen also served as Head of Product/Web Strategy at BISAM where she where she had responsibility for restructuring the product organization to enhance responsiveness, improve client relationships and grow market share. She had P&L responsibility for a multi-suite of SaaS offerings serving Performance Teams in Global Asset Management firms. Kathleen also spent a number of years leading product and service teams at both NASDAQ and Thomson Reuters.
Kathleen holds a MBA from the University of Massachusetts and a Bachelor of Science from Ithaca College.
